newbie in the stocks ,bought some in a placement deal how does one go about getting stock from a certificate to digital, also can i give the stocks to someone that i bought them with.

You can request the certificate from the company you invested in. It used to be free but I think there is a small fee now. If you plan on giving them to someone it might be easier to go though a broker and buy them in their name. You can give the certificate to someone but if you actually bought them any dividends would go to you. I'm not sure how you can transfer ownership once the purchase has been made in your name.
